Low noise, diskless MD

Looking around the web i saw this nice Aopen mITX case:

Paired with Intels MB with Atom 330 dual core CPU and 1 GB of RAM:

I think it would make great for a low noise, diskless MD, for around 250$, here in Croatia.
Intel MB uses Realtek 8111C NIC which doesnt work OOB, but with 8168 fix, http://wiki.linuxmce.org/index.php/R8168, it can work as its supposed to do. Audio input isnt the big concern for me, i still on stereo, but the MB also has 5.1 card. What do You guys think of it?
Any suggestions/propositions?
